Terms of Service.

These terms explain the basis on which Digvanta provides digital, creative and marketing services to its clients.

01. Introduction

These Terms of Service govern the use of the Digvanta website and the provision of services by Digvanta, an independent digital agency operating in Ireland.

By engaging Digvanta for services, you agree to these terms. If you do not agree with any part of these terms, you should not proceed with the relevant services.

02. Our Services

Digvanta provides digital and creative services which may include, but are not limited to:

  • Google Ads and paid search advertising
  • Social media advertising
  • Social media marketing
  • Branding and visual identity
  • Graphic and digital design
  • Content and digital strategy
  • Analytics and reporting

The exact scope of work, deliverables, timelines and fees will depend on the individual project or service agreed with the client.

03. Project Agreements

Before work begins, Digvanta may provide a proposal, quotation, statement of work or other written agreement setting out the agreed scope of the project.

Any project-specific agreement will take precedence over these general terms where there is a conflict between the two.

Work outside the agreed scope may be subject to additional fees and will normally be agreed with the client before the additional work is undertaken.

04. Client Responsibilities

Clients are responsible for providing accurate, complete and timely information, materials and approvals required for a project.

This may include:

  • Brand assets and logos
  • Images, videos and other media
  • Website content and copy
  • Access to relevant accounts and platforms
  • Feedback and project approvals

Delays caused by missing information, approvals, content or access may affect the agreed project timeline.

05. Fees & Payment

Fees will be agreed before the commencement of a project or service wherever reasonably possible.

Depending on the project, Digvanta may require an upfront payment, deposit, staged payments or payment upon completion.

Unless otherwise agreed in writing, invoices are payable within the payment period stated on the relevant invoice.

Digvanta reserves the right to pause work where invoices remain unpaid.

06. Websites & Development

Website projects may involve third-party platforms, hosting providers, plugins, themes, software, APIs and other technologies.

Digvanta will make reasonable efforts to deliver websites according to the agreed specification. However, third-party services and technologies are outside Digvanta's direct control.

Ongoing hosting, domain registration, software licences, premium plugins, subscriptions and third-party services may incur separate costs unless specifically included in the agreed project.

07. SEO & Advertising

SEO, Google Ads, Meta advertising and other marketing services are intended to improve digital visibility and performance.

However, Digvanta cannot guarantee specific rankings, traffic levels, leads, sales, advertising results or financial outcomes.

Search engines, advertising platforms and other third parties can change their algorithms, policies, pricing, targeting options and functionality without notice.

08. Intellectual Property

Unless otherwise agreed in writing, clients retain ownership of materials and content they provide to Digvanta.

Upon full payment of applicable project fees, ownership of final client-specific deliverables created specifically for the project will transfer to the client where agreed as part of the project.

Third-party software, fonts, stock assets, plugins, templates, licences and other materials remain subject to their respective terms and licences.

Digvanta may retain ownership of its underlying processes, methodologies, reusable code, frameworks and pre-existing materials unless otherwise agreed in writing.

09. Portfolio & Promotion

Unless otherwise agreed in writing, Digvanta may display completed work in its portfolio, website, social media channels and other promotional materials.

If a client requires a project to remain confidential or not to be publicly displayed, this should be agreed with Digvanta in writing.

10. Third-Party Services

Digital projects may depend on third-party services such as hosting providers, domain registrars, Google, Meta, WordPress, payment providers and other platforms.

Digvanta is not responsible for outages, interruptions, policy changes, account suspensions or other issues caused by third-party providers.

11. Confidentiality

Both parties should take reasonable steps to protect confidential information shared during a project or business relationship.

Confidential information should not be disclosed to third parties except where required to provide the agreed services, required by law, or otherwise authorised by the relevant party.

12. Limitation of Liability

Digvanta will provide its services with reasonable care and skill. However, no digital service can guarantee uninterrupted operation, specific commercial results or the continued availability of third-party platforms.

To the extent permitted by applicable law, Digvanta will not be responsible for indirect, incidental or consequential losses arising from the use of its services.

Nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable law.

13. Cancellation & Termination

Either party may request to end a project or ongoing service arrangement subject to the terms of the relevant project agreement.

The client remains responsible for payment for work completed and approved expenses incurred up to the date of termination.

Any deposits or advance payments will be handled according to the agreed project terms and applicable law.

14. Website Use

Content published on the Digvanta website is provided for general information and may be updated or changed without notice.

You must not use the website for unlawful, fraudulent, abusive or malicious purposes or attempt to interfere with its operation or security.

15. Privacy

Personal information submitted through the Digvanta website is handled in accordance with our Privacy Policy.

16. Governing Law

These terms are intended to be governed by the laws of Ireland, subject to any mandatory provisions of applicable law.
